Arbitration: If the dispute is not resolved through mediation within 60 days, it will be submitted to binding arbitration under the rules of the American Arbitration Association. The arbitration will be conducted in a city within the United States, and the arbitrator’s decision will be final and binding.

Notwithstanding the foregoing, either party may seek injunctive relief or other equitable remedies in a court of competent jurisdiction in the United States to protect its intellectual property rights or other proprietary interests.

The parties consent to the exclusive jurisdiction of the federal and state courts located within the United States for any litigation that is not subject to arbitration.
